Aramco closes its $2.6B purchase of 49% of HUMAIN. PIF retains 51% as Aramco contributes approximately SAR 9.9 billion in cash during 2026 plus AI assets to support planned 3 GW data center capacity by 2030, with the transaction closed on 1 November.
Aramco closes its $2.6B purchase of 49% of HUMAIN. PIF and Aramco announced the closing of the transaction on 1 November 2026, under which Aramco, through a wholly owned subsidiary, acquires a 49% stake in the Saudi AI company while PIF retains 51% ownership. Aramco is transferring key AI assets and contributing approximately SAR 9.9 billion ($2.6 billion) in cash in 2026 to HUMAIN, in addition to AI, compute, and digital assets. The value of the transferred assets and HUMAIN’s implied valuation were not disclosed. The transaction supports HUMAIN’s planned deployment of 3 gigawatts of AI data center capacity by 2030 to meet regional and global demand for AI compute. HUMAIN was launched in May 2025. It is building full-stack AI capabilities across next-generation data centers, high-performance infrastructure and cloud platforms, advanced AI models including the Arabic large language model ALLaM, and industry solutions. PIF and Aramco will oversee the company’s expansion plans and contribute AI assets, capabilities, and talent. The closing follows a non-binding term sheet announced on 28 October 2025 that outlined key terms for Aramco to acquire a significant minority stake. Amin Nasser, Aramco’s president and CEO, said the company has achieved $11.3 billion in technology realized value since 2023, with a significant portion coming from AI solutions. He said the partnership strengthens Aramco’s position as a technology leader and lays the foundation for localizing the AI industry. For Aramco the practical change is access to HUMAIN’s infrastructure for industrial applications alongside its energy operations. The value of the stake depends on whether HUMAIN reaches its capacity targets and generates returns from compute and models. The announcement does not include any change to Aramco’s core energy production or published timelines for the cash contributions beyond 2026. Other state-linked AI vehicles exist in the region. The Aramco-PIF structure keeps majority control with the sovereign fund while adding industrial AI assets and capital. The companies have not published the exact assets transferred or the commercial terms between the shareholders. If HUMAIN publish progress on data center capacity or revenue within the next year, the stake has a measurable follow-through. If the next update is only a restatement of the ownership split, the change for the market remains the same as the closing announcement. The figures missing are the value of the assets transferred and any implied valuation. The closing is one step in combining Saudi energy and sovereign capital behind a full-stack AI platform. HUMAIN has also signed preliminary agreements for data center capacity at NEOM with DataVolt and Nebius. Aramco expects to leverage HUMAIN for industrial AI applications. Yazeed A. Al-Humied of PIF said combining the AI portfolios under HUMAIN creates synergy for talent and intellectual property. The cash contribution is planned for 2026. Both parties will contribute talent as well as assets. The deal formalises an agreement first outlined in a non-binding term sheet. HUMAIN aims to become a leading exporter of AI. The subsidiary holding the stake is wholly owned by Aramco. No change to Aramco’s energy production was announced. The partnership is expected to support revenue growth from AI assets. Customers of HUMAIN compute can continue under existing terms. The structure leaves HUMAIN under PIF majority ownership. The cash is an approximate figure for contributions during 2026. The announcement was made jointly by the two shareholders. The capacity target remains a plan rather than operating capacity. The transaction accelerates HUMAIN’s full-stack ambitions. The companies have not published a full list of the assets transferred. The cash contribution is separate from the value of any assets.
